Please read these Terms of Use carefullybefore accessing or using this website. By accessing antaresmedia.com (the“Site”), you agree to be legally bound by these Terms of Use in their entirety.If you do not agree with any part of these Terms, you must immediatelydiscontinue your use of the Site.

These Terms of Use constitute a legallybinding agreement between you (“you” or “the User”) and Antares Media Inc.(“Antares Media,” “we,” “us,” or “our”), a federally incorporated creativeproduction studio organized under the laws of Canada, with its registered headoffice at 407 Iroquois Shore Rd, Unit 8 Suite V55, Oakville, Ontario, L6H 1M3.

These Terms govern your access to and use ofthe Site only. They do not govern any client engagement, creative productionproject, or service delivery relationship between you and Antares Media. Suchrelationships are governed exclusively by the separate written serviceagreement entered into between Antares Media and the applicable client. In theevent of any conflict between these Terms and a signed service agreement, theservice agreement shall prevail.

1. Acceptance of Terms

By visiting, browsing, or otherwise using theSite in any manner, you represent and warrant that: (a) you have read,understood, and agree to be bound by these Terms of Use and our Privacy Policy,which is incorporated herein by reference; (b) you are at least thirteen (13)years of age; (c) you have the legal capacity to enter into a bindingagreement; and (d) your use of the Site does not violate any applicable law orregulation.

If you are accessing the Site on behalf of abusiness, organization, or other legal entity, you represent and warrant thatyou have the authority to bind that entity to these Terms, and that youracceptance of these Terms constitutes acceptance by that entity. In such case,“you” and “the User” shall refer to that entity.

2. Age Requirement

The Site is not intended for use by childrenunder the age of thirteen (13). By using the Site, you represent that you areat least 13 years of age. If you are between the ages of 13 and 17, yourepresent that you have the consent of a parent or legal guardian to use theSite and that your parent or guardian has agreed to these Terms on your behalf.

Antares Media does not knowingly collectpersonal information from individuals under the age of 13. If we become awarethat a person under 13 has submitted personal information through the Sitewithout verifiable parental consent, we will take prompt steps to delete suchinformation. If you believe a minor under 13 has provided us with personalinformation, please contact us immediately at hello@antaresmedia.com.

3. Modifications to These Terms

Antares Media reserves the right to amend,update, or replace these Terms of Use at any time and at our sole discretion.When we make material changes, we will update the “Last Updated” date at thetop of this document. It is your responsibility to review these Termsperiodically.

Your continued use of the Site following theposting of any amended Terms constitutes your acceptance of those changes. Ifyou do not agree to the amended Terms, you must discontinue your use of theSite immediately. We will not provide individual notice of changes to theseTerms unless required to do so by applicable law.

4. Permitted Use of the Site

Subject to your compliance with these Terms,Antares Media grants you a limited, non-exclusive, non-transferable, revocablelicence to access and use the Site for your personal, informational, andbusiness evaluation purposes. This licence does not include any right to:

•      Download, reproduce, copy, modify, distribute,publish, display, or create derivative works from any content on the Sitewithout our prior written consent;

•      Use the Site or its content for any commercialpurpose other than evaluating Antares Media’s services for the purpose of apotential engagement;

•      Use automated systems, scripts, bots, scrapers,crawlers, or data extraction tools of any kind to access, collect, or indexcontent from the Site;

•      Circumvent, disable, or otherwise interfere withsecurity features of the Site, including features that prevent or restrict theuse or copying of any content;

•      Access the Site in any manner that could damage,disable, overburden, or impair the Site or interfere with any other party’s useof the Site;

•      Attempt to gain unauthorized access to any portionof the Site, any server connected to the Site, or any systems or networksconnected to the Site.

Any use of the Site not expressly permittedby these Terms is prohibited and may result in the immediate termination ofyour access and the pursuit of legal remedies available to Antares Media.

5. Prohibited Conduct

In addition to the restrictions set out inSection 4, you agree that you will not, under any circumstances:

•      Scraping and unauthorized copying: Use anymanual or automated means to scrape, harvest, extract, copy, or systematicallydownload content from the Site, including but not limited to text, images,video content, case study materials, portfolio work, pricing information, blogposts, or any other materials.

•      Unauthorized use of portfolio and creative work: Reproduce,republish, redistribute, sublicense, sell, or otherwise use any photographs,video content, case study materials, brand assets, or other creative workdisplayed on the Site without the prior express written consent of AntaresMedia. All portfolio work displayed on the Site remains the intellectualproperty of Antares Media Inc. and/or its clients, and is protected underCanadian copyright law and applicable international copyright treaties.

•      Impersonation: Impersonate Antares Media Inc.,any of its personnel, or any associated brand or studio, whether through thecreation of fake social media accounts, fraudulent email communications,misrepresentation of affiliation, or any other means. You may not representyourself as affiliated with, endorsed by, or acting on behalf of Antares Mediawithout our prior written authorization.

•      False or misleading contact submissions: Submitinquiries, contact form submissions, booking requests, or other communicationsthat contain false, fraudulent, misleading, or deceptive information, includingfictitious business names, false contact details, fabricated project scopes, ormisrepresentations of identity or authority.

•      Defamation and disparagement: Post, transmit, orotherwise publish false statements of fact about Antares Media, its services,its personnel, or its clients that could constitute defamation under applicablelaw.

•      Unlawful use: Use the Site for any purpose thatviolates any applicable local, provincial, federal, or international law orregulation, including without limitation laws governing data privacy,intellectual property, consumer protection, anti-spam, and electronic communications.

•      Interference: Introduce viruses, malware,spyware, ransomware, or any other malicious code to the Site or attempt todisrupt, degrade, or interfere with the operation of the Site or any connectedinfrastructure.

6. Intellectual Property Rights

6.1 Ownership

The Site and all of its content, includingbut not limited to text, graphics, logos, photographs, video content, casestudies, portfolio materials, blog articles, page layouts, and underlying code(collectively, the “Content”), are the exclusive property of Antares Media Inc.or its licensors and are protected by Canadian copyright law, trademark law,and other applicable intellectual property legislation, including the CopyrightAct (R.S.C., 1985, c. C-42) and applicable international treaties.

The Antares Media name, wordmark, logo, andall associated brand assets are the proprietary marks of Antares Media Inc.Nothing in these Terms grants you any right, title, or interest in anytrademark, service mark, logo, or brand feature of Antares Media.

6.2 Limited Licence

Nothing on the Site shall be construed asgranting, by implication, estoppel, or otherwise, any licence or right to useany Content or intellectual property without the prior express writtenpermission of Antares Media or the applicable rights holder.

6.3 Portfolio and Client Work

Creative work displayed in the portfolio orcase study sections of the Site may be subject to shared intellectual propertyrights between Antares Media and the clients for whom the work was produced.Any inquiry regarding licensing or reproduction of specific portfolio itemsmust be directed to hello@antaresmedia.com. Antares Media will obtain anyrequired client consents before authorizing third-party use.

6.4 User-Submitted Content

If you submit any content to Antares Mediathrough the Site, including text submitted through contact forms, inquirymessages, or uploaded materials, you grant Antares Media a non-exclusive,royalty-free, worldwide licence to use, reproduce, store, and process suchcontent solely for the purpose of responding to your inquiry and operating theSite. You represent and warrant that you have all rights necessary to grantthis licence and that your submission does not infringe any third-party rights.

7. No Unauthorized Linking

You may not create a hyperlink to any page ofthe Site without the prior express written consent of Antares Media. Inparticular, you may not:

•      Frame, inline link, or embed any portion of the Sitewithin another website, application, or digital platform without our writtenauthorization;

•      Link to the Site in a manner that impliesaffiliation, endorsement, or sponsorship by Antares Media that does not exist;

•      Link to the Site from any website or digitalproperty that contains content that is unlawful, defamatory, obscene,offensive, or otherwise objectionable in Antares Media’s sole determination.

Antares Media reserves the right to withdrawlinking consent at any time and without notice. Upon receiving written noticefrom Antares Media demanding removal of a link, you must comply withinforty-eight (48) hours.

8. Third-Party Links and External Content

The Site may contain links to third-partywebsites, platforms, or resources that are not owned or controlled by AntaresMedia. These links are provided solely for your convenience and informationalpurposes. Antares Media does not endorse, and has no control over, the content,privacy practices, or terms of any third-party website.

You acknowledge and agree that Antares Mediais not responsible or liable for any loss, damage, or harm arising from youraccess to or use of any third-party website or resource linked from the Site.Your use of third-party websites is entirely at your own risk and subject tothe terms and conditions of those websites.

9. Disclaimer of Warranties

THE SITE AND ALL CONTENT ARE PROVIDED ON AN“AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESSOR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ANTARES MEDIAEXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

•      Implied warranties of merchantability, fitness for aparticular purpose, title, and non-infringement;

•      Warranties that the Site will be uninterrupted,error-free, secure, or free of viruses or other harmful components;

•      Warranties as to the accuracy, completeness,currentness, or reliability of any Content on the Site, including pricing,availability, service descriptions, portfolio representations, or blog content;

•      Warranties that any defects or errors on the Sitewill be corrected.

Antares Media reserves the right to modify,suspend, or discontinue the Site or any portion thereof at any time, with orwithout notice, and without liability to you.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLELAW, ANTARES MEDIA INC. AND ITS DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS,AGENTS, LICENSORS, AND SUCCESSORS SHALL NOT BE LIABLE FOR ANY INDIRECT,INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUTOF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SITE, EVEN IFANTARES MEDIA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

This limitation applies to all claims,whether based in contract, tort (including negligence), strict liability, orany other legal theory, and includes without limitation damages for loss ofprofits, loss of revenue, loss of data, loss of goodwill, businessinterruption, or any other commercial or economic loss arising from:

•      Your access to or use of, or inability to access oruse, the Site or any Content;

•      Any unauthorized access to or alteration of yourdata or transmissions;

•      Any content or conduct of any third party on orlinked from the Site;

•      Any errors, omissions, inaccuracies, or otherdefects in the Content;

•      Any viruses, malware, or other malicious codetransmitted through the Site.

In jurisdictions that do not allow theexclusion or limitation of certain damages, Antares Media’s liability shall belimited to the fullest extent permitted by applicable law. Nothing in theseTerms shall limit or exclude liability for death or personal injury caused bynegligence, fraud, or fraudulent misrepresentation, or any other liability thatcannot be excluded or limited under applicable law.

11. Indemnification

You agree to defend, indemnify, and holdharmless Antares Media Inc. and its directors, officers, employees,contractors, agents, licensors, and successors from and against any and allclaims, damages, losses, liabilities, costs, and expenses (including reasonablelegal fees) arising out of or relating to:

•      Your use of or access to the Site;

•      Your violation of any provision of these Terms;

•      Your violation of any applicable law, regulation, orthird-party right, including any intellectual property right or privacy right;

•      Any content you submit to or through the Site;

•      Any false, misleading, or fraudulent representationmade by you in connection with your use of the Site.

Antares Media reserves the right, at its ownexpense, to assume the exclusive defence and control of any matter otherwisesubject to indemnification by you, in which case you agree to cooperate fullywith Antares Media in asserting any available defences.

12. Enforcement and Remedies

Antares Media reserves all rights andremedies available at law and in equity to address violations of these Terms.Without limiting the foregoing, upon becoming aware of any violation orsuspected violation of these Terms, Antares Media may, in its sole discretionand without prior notice:

•      Immediately and without notice terminate or restrictyour access to the Site;

•      Remove, delete, or disable any content submitted byyou through the Site;

•      Pursue civil legal action, including injunctiverelief, damages, and recovery of legal costs and disbursements;

•      Report your conduct to applicable regulatoryauthorities, law enforcement agencies, or other governmental bodies, includingbut not limited to the Canadian Radio-television and TelecommunicationsCommission (CRTC), the Competition Bureau of Canada, the Office of the PrivacyCommissioner of Canada, or local law enforcement, where Antares Mediareasonably believes your conduct constitutes a violation of applicable law.

The remedies set out in this Section arecumulative and not exclusive. Antares Media’s exercise of any remedy does notpreclude the exercise of any other remedy available at law, in equity, or underthese Terms.

13. Privacy

Your use of the Site is also governed by ourPrivacy Policy, available at antaresmedia.com/privacy-policy, which isincorporated into these Terms of Use by this reference. By using the Site, youconsent to the collection, use, and disclosure of your personal information asdescribed in the Privacy Policy. In the event of any conflict between theseTerms and the Privacy Policy with respect to privacy matters, the PrivacyPolicy shall prevail.

14. Governing Law and Jurisdiction

These Terms of Use and any dispute arisingout of or in connection with them, including any question regarding theirexistence, validity, interpretation, or termination, shall be governed by andconstrued exclusively in accordance with the laws of the Province of Ontarioand the federal laws of Canada applicable therein, without regard to anyconflict of law principles that would result in the application of the law ofanother jurisdiction.

You irrevocably submit to the exclusivejurisdiction of the courts of the Province of Ontario, sitting in the City ofToronto or the Region of Halton, for the resolution of any dispute arisingunder or in connection with these Terms or your use of the Site. You waive anyobjection to proceedings in such courts on the grounds of venue, inconvenientforum, or any similar grounds.

Nothing in this Section shall prevent AntaresMedia from seeking injunctive or other equitable relief in any court ofcompetent jurisdiction where necessary to protect its intellectual propertyrights or other proprietary interests on an urgent or interim basis.

15. Severability

If any provision of these Terms of Use isfound by a court of competent jurisdiction to be invalid, illegal, orunenforceable in any respect, that provision shall be modified to the minimumextent necessary to make it enforceable, or if modification is not possible,severed from these Terms. The remaining provisions shall continue in full forceand effect. The invalidity or unenforceability of any provision shall notaffect the validity or enforceability of any other provision.

16. Entire Agreement

These Terms of Use, together with the PrivacyPolicy incorporated herein by reference, constitute the entire agreementbetween you and Antares Media with respect to your use of the Site andsupersede all prior and contemporaneous agreements, representations,warranties, and understandings with respect to the Site and its Content.

For the avoidance of doubt, these Terms donot govern any client engagement or service delivery relationship. Any suchrelationship is governed solely by the written service agreement executedbetween Antares Media and the applicable client. These Terms shall not be readto impose any obligation on Antares Media to provide services, enter into anyagreement, or respond to any inquiry.

17. Waiver

No failure or delay by Antares Media inexercising any right, power, or remedy under these Terms shall operate as awaiver of that right, power, or remedy. No single or partial exercise of anyright, power, or remedy shall preclude any other or further exercise thereof orthe exercise of any other right, power, or remedy. A waiver by Antares Media ofany breach of these Terms shall not be construed as a waiver of any subsequentbreach of the same or any other provision.

18. Assignment

You may not assign, transfer, or delegate anyof your rights or obligations under these Terms without the prior writtenconsent of Antares Media. Any purported assignment in violation of this Sectionshall be null and void. Antares Media may assign these Terms, in whole or inpart, at any time without notice to you, including in connection with a merger,acquisition, corporate reorganization, or sale of all or substantially all ofits assets.
