1. Introduction and Acceptance

These Terms of Service (the "Terms") govern your access to and use of the website operated by Antares Media Inc. at antaresmedia.com, including any subdomains, successor URLs, and associated pages, forms, blog content, and interactive features (collectively, the "Site"). They also govern any communications, inquiries, or preliminary interactions you have with Antares Media Inc. through the Site.

Antares Media Inc. ("Antares," "the Studio," "we," "us," or "our") is a federally incorporated Canadian corporation (Business Number 724792759), with its principal place of business at 407 Iroquois Shore Road, Unit 8, Suite V55, Oakville, Ontario, L6H 1M3, Canada.

By accessing, browsing, or otherwise using the Site, you ("you," "your," or "the User") acknowledge that you have read, understood, and agreed to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree with any part of these Terms, you must not access or use the Site.

These Terms govern your use of the Site only. They do not constitute a contract for creative services. Any engagement of Antares for cinematography, photography, web design and development, brand identity, creative direction, or related services will be governed by a separate written services agreement, statement of work, proposal, or engagement letter executed between Antares and the client.

2. Definitions

In these Terms, the following definitions apply:

  • "Content" means all text, graphics, photographs, video, audio, code, data, design elements, layouts, and other materials displayed on or made available through the Site.

  • "Inquiry" means any submission made through the Site's contact form, request for proposal, or other inbound communication channel.

  • "Services" means the cinematography, photography, web design and development, brand identity, creative direction, strategy, and related creative production services offered by Antares.

  • "Services Agreement" means a separate written agreement, proposal, statement of work, or engagement letter governing the provision of Services to a client.

  • "User Content" means any material — including text, brand assets, briefing documents, reference imagery, and other inputs — that you submit to Antares through the Site or otherwise during your interactions with us.

3. Eligibility

By using the Site, you represent and warrant that:

  • You are at least eighteen (18) years of age, or the age of majority in your jurisdiction of residence, whichever is greater;

  • You have the legal capacity to enter into a binding agreement;

  • If you are using the Site on behalf of a company or other legal entity, you have the authority to bind that entity to these Terms, and references to "you" include both you personally and that entity;

  • Your use of the Site complies with all applicable laws, regulations, and these Terms.

We reserve the right to refuse service, deny access, or terminate your use of the Site at our sole discretion and without notice, for any reason permitted by law.

4. Use of the Site

You may access and use the Site solely for lawful purposes and in accordance with these Terms. Specifically, you agree that you will not:

  • Use the Site in any manner that violates any applicable federal, provincial, state, local, or international law or regulation;

  • Use the Site to transmit or procure the sending of any unsolicited or unauthorized advertising, promotional material, spam, or similar communication;

  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity;

  • Engage in any conduct that restricts or inhibits any other party's use or enjoyment of the Site;

  • Attempt to gain unauthorized access to, interfere with, damage, or disrupt any part of the Site, the servers on which it is hosted, or any networks connected to it;

  • Use any robot, spider, scraper, or other automated means to access, copy, or harvest material from the Site without our prior written consent, except for legitimate search engine indexing;

  • Introduce viruses, trojan horses, worms, logic bombs, or any other material that is malicious or technologically harmful;

  • Attempt to reverse engineer, decompile, or otherwise extract source code from any portion of the Site;

  • Use the Site or its Content to train, fine-tune, or develop any artificial intelligence model, machine learning system, or large language model without our prior written consent;

  • Use the Site in any way that could disable, overburden, damage, or impair it, or interfere with any other party's use of the Site.

We reserve the right to investigate suspected violations and to take appropriate legal action, including referral to law enforcement.

5. Intellectual Property Rights

5.1 Antares's Intellectual Property

All Content on the Site — including but not limited to the design, layout, look and feel, branding, photography, cinematography, illustrations, written copy, code, logos, and the "Antares Media" name and word mark — is owned by Antares Media Inc. or its licensors and is protected by Canadian and international copyright, trademark, trade-dress, and other intellectual property laws.

Except as expressly authorized in these Terms or by separate written permission, you may not copy, reproduce, modify, republish, upload, post, transmit, distribute, perform, display, sell, license, create derivative works from, or otherwise exploit any portion of the Site or its Content for any commercial or public purpose.

You are granted a limited, revocable, non-exclusive, non-transferable, non-sublicensable licence to access and view the Site and its Content for your personal, non-commercial, informational use, and to make a reasonable number of copies for your own internal reference, provided that you retain all copyright, trademark, and other proprietary notices.

5.2 Trademarks

"Antares Media," the Antares Media logo, the studio's word mark, and any associated taglines, slogans, or visual identity elements are trademarks of Antares Media Inc., whether or not registered. Any third-party trademarks, service marks, or trade names that appear on the Site are the property of their respective owners and are used for identification purposes only. Nothing on the Site should be construed as granting any licence or right to use any such trademark without the prior written consent of its owner.

5.3 User Content

By submitting User Content to Antares through the Site, by email, or otherwise during the inquiry stage, you grant Antares a limited, worldwide, royalty-free, non-exclusive licence to use, store, copy, and process that User Content solely for the purpose of:

  • Reviewing and responding to your inquiry;

  • Preparing a proposal or scope of work;

  • Conducting internal discussions necessary to evaluate the opportunity;

  • Complying with our legal and recordkeeping obligations.

You represent and warrant that you own or have all necessary rights to submit the User Content, and that doing so does not infringe the intellectual property rights, privacy rights, or other rights of any third party.

The licence described in this Section 5.3 is limited to the inquiry stage and is separate from any rights, licences, or assignments that may be granted in a subsequent Services Agreement. The terms of any executed Services Agreement will govern the ownership, licensing, and use of materials exchanged during the engagement.

5.4 Feedback

If you provide Antares with any feedback, suggestions, comments, ideas, or improvements regarding the Site or our Services ("Feedback"), you agree that we may use the Feedback for any purpose without compensation, attribution, or obligation to you. You assign to Antares all rights, title, and interest in such Feedback.

5.5 Portfolio Use of Completed Work

Subject to the terms of the applicable Services Agreement and to any confidentiality or non-disclosure obligations binding on Antares, the Studio reserves the right to display completed work in its portfolio, on social media, in pitches to prospective clients, in case studies, and in awards submissions. Where attribution to a named client is contemplated, we will obtain the client's prior consent in the engagement agreement or by separate written approval.

6. Inquiries and Project Requests

The Site includes a contact form and other channels that allow you to submit project inquiries to Antares. Submission of an inquiry does not constitute acceptance by Antares of the project, nor does it create any contractual relationship between you and Antares for the provision of Services.

Antares is under no obligation to respond to any inquiry, to accept any project, or to enter into a Services Agreement. We reserve the right to decline any engagement at our sole discretion, including but not limited to engagements that fall outside our scope of work, conflict with existing client commitments, raise ethical concerns, or do not meet our minimum engagement thresholds.

Where Antares agrees to undertake a project, a binding contractual relationship will arise only upon the execution of a written Services Agreement signed by both parties, or upon another clear written confirmation of engagement that expressly references binding terms.

7. Services Are Governed by Separate Agreement

Any Services delivered by Antares — including cinematography, photography, web design and development, brand identity, creative direction, strategy, and related production services — are provided exclusively under the terms of a separate written Services Agreement. The terms of that Services Agreement govern all matters relating to the engagement, including:

  • Scope of work and deliverables;

  • Timelines and milestones;

  • Fees, expenses, and payment terms;

  • Intellectual property ownership and licensing;

  • Revisions, approvals, and acceptance criteria;

  • Confidentiality and non-disclosure;

  • Talent releases, location releases, and third-party clearances;

  • Termination rights;

  • Limitations of liability specific to the engagement;

  • Governing law and dispute resolution applicable to the engagement.

In the event of any conflict between these Terms and a Services Agreement, the terms of the Services Agreement will prevail with respect to the engagement governed by that agreement.

8. Pricing and Currency

Any pricing displayed on the Site, including the indicative investment ranges shown alongside our service descriptions, is provided for informational purposes only. Such pricing does not constitute an offer to provide Services at the stated price and is subject to change without notice. Final pricing for any engagement will be set out in the applicable Services Agreement and may vary based on scope, deliverables, timeline, complexity, location, talent requirements, and other factors.

Canadian engagements are typically quoted in Canadian Dollars (CAD). International engagements are typically quoted in United States Dollars (USD). Applicable taxes — including but not limited to Canadian federal Goods and Services Tax (GST), Harmonized Sales Tax (HST), and Quebec Sales Tax (QST) where applicable — will be added to invoices in accordance with Canadian tax law.

9. Third-Party Services and Links

The Site may contain links to third-party websites, applications, or services that are not owned or controlled by Antares. We provide these links for your convenience only and do not endorse, sponsor, or assume responsibility for any third-party content, products, or services.

You acknowledge and agree that Antares is not responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of, or reliance on, any content, goods, or services available on or through any third-party website or service. Your use of any third-party website or service is governed by that third party's own terms and privacy practices.

10. Disclaimers

THE SITE AND ITS CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT REPRESENTATIONS, WARRANTIES, OR CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ANTARES DISCLAIMS ALL REPRESENTATIONS, WARRANTIES, AND CONDITIONS, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, RELIABILITY, AND TITLE.

Without limiting the foregoing, Antares does not warrant that:

  • The Site will be available at all times or that it will be uninterrupted or error-free;

  • Defects in the Site will be corrected;

  • The Site or the servers that make it available are free of viruses or other harmful components;

  • The Content on the Site is accurate, complete, current, or appropriate for your purposes;

  • Any indicative pricing, timelines, or results referenced on the Site will be achieved in any particular engagement;

  • Any blog content, case studies, or other informational material on the Site constitutes professional, legal, accounting, financial, or business advice.

You acknowledge that any reliance on Content on the Site is at your sole risk. The Site is not a substitute for engaging qualified professional advisors.

The disclaimers in this Section apply to the maximum extent permitted by applicable law and do not affect any non-excludable statutory rights you may have as a consumer.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL ANTARES MEDIA INC., ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, AFFILIATES, OR LICENSORS BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES — INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS OPPORTUNITY — ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE SITE, REGARDLESS OF THE LEGAL THEORY UPON WHICH ANY CLAIM IS BASED AND EVEN IF ANTARES HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE AGGREGATE LIABILITY OF ANTARES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE WILL NOT EXCEED ONE HUNDRED CANADIAN DOLLARS (CAD $100), OR THE EQUIVALENT IN YOUR LOCAL CURRENCY.

Nothing in these Terms excludes or limits Antares's liability for (i) death or personal injury caused by negligence; (ii) fraud or fraudulent misrepresentation; or (iii) any other liability that cannot be limited or excluded under applicable law.

The limitations in this Section apply to your use of the Site only. Limitations of liability applicable to a particular engagement of Services will be set out in the relevant Services Agreement.

12. Indemnification

You agree to defend, indemnify, and hold harmless Antares Media Inc., its directors, officers, employees, agents, contractors, affiliates, and licensors from and against any and all claims, demands, actions, proceedings, losses, damages, liabilities, judgments, settlements, costs, and expenses — including reasonable legal fees — arising out of or in connection with:

  • Your access to or use of the Site;

  • Your violation of these Terms;

  • Your violation of any third-party right, including any intellectual property, privacy, or proprietary right;

  • Any User Content you submit to Antares;

  • Your violation of any applicable law or regulation.

Antares reserves the right, at its own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with our defence of such matter. You may not settle any matter that gives rise to an indemnification claim without our prior written consent.

13. Privacy

Your use of the Site is also governed by our Privacy Policy, which describes how we collect, use, disclose, store, and safeguard your personal information. By using the Site, you acknowledge that you have read and understood our Privacy Policy. The Privacy Policy is available at antaresmedia.com/legal/privacy-policy and is incorporated into these Terms by reference.

14. Termination

We reserve the right to suspend or terminate your access to the Site, in whole or in part, at any time and without notice, for any reason — including but not limited to breach of these Terms, suspected unlawful activity, or operational reasons.

All provisions of these Terms that by their nature should survive termination will survive — including, without limitation, provisions relating to intellectual property, disclaimers, limitations of liability, indemnification, and governing law.

15. Modifications to the Terms

We reserve the right to modify, amend, or replace these Terms at any time, at our sole discretion. When we do, we will update the "Last Updated" date at the top of these Terms and, where the changes are material, we will provide additional notice — such as by posting a prominent notice on the Site.

Your continued access to or use of the Site after a modification takes effect constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must cease using the Site.

16. Governing Law and Jurisdiction

These Terms and any dispute, claim, or controversy arising out of or in connection with them, the Site, or your use of the Site — whether in contract, tort, statute, equity, or otherwise — are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles.

You irrevocably agree that the courts of the Province of Ontario, sitting in the Regional Municipality of Halton or the City of Toronto, will have exclusive jurisdiction to settle any such dispute, claim, or controversy, and you waive any objection to such jurisdiction on grounds of venue or forum non conveniens.

The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

If you are accessing the Site from outside Canada, you do so on your own initiative and are responsible for compliance with local laws. The Site is not directed at any jurisdiction in which its publication, availability, or use would be contrary to local law or regulation.

17. Dispute Resolution

In the event of any dispute, claim, or controversy arising out of or in connection with these Terms or the Site, the parties agree to first attempt to resolve the matter informally by good-faith discussion. If the matter is not resolved within thirty (30) days of written notice from one party to the other, either party may pursue the matter in the courts identified in Section 16.

Nothing in this Section prevents either party from seeking urgent injunctive or equitable relief in a court of competent jurisdiction where necessary to protect its rights, including its intellectual property rights, pending the resolution of any dispute.

18. General Provisions

18.1 Entire Agreement

These Terms, together with our Privacy Policy and any other notices or policies expressly incorporated by reference, constitute the entire agreement between you and Antares with respect to your use of the Site, and supersede all prior or contemporaneous communications and proposals, whether oral or written, on the subject. Any engagement of Services is additionally governed by the applicable Services Agreement.

18.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision will be enforced to the maximum extent permissible, and the remaining provisions of these Terms will remain in full force and effect.

18.3 No Waiver

The failure or delay of Antares to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. No waiver of any term will be deemed a further or continuing waiver of that term or any other term.

18.4 Assignment

You may not assign, transfer, or delegate any of your rights or obligations under these Terms without our prior written consent. Antares may assign, transfer, or delegate any of its rights and obligations under these Terms at its sole discretion, including in connection with a merger, acquisition, financing, reorganization, or sale of assets.

18.5 Force Majeure

Antares will not be liable for any failure or delay in performance under these Terms or its operation of the Site to the extent such failure or delay is caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, government action, pandemic, labour disputes, internet or telecommunications failures, or interruptions in third-party services.

18.6 Relationship of the Parties

Nothing in these Terms creates any agency, partnership, joint venture, employment, or fiduciary relationship between you and Antares. Neither party has authority to bind the other or to incur obligations on the other's behalf.

18.7 Headings

Headings in these Terms are for convenience only and do not affect the interpretation of the provisions to which they relate.

18.8 Language

These Terms have been drafted in English at the express request of the parties. Les présentes conditions ont été rédigées en anglais à la demande expresse des parties.

We work regularly across the GTA, throughout Canada, and into the United States — and we travel internationally for production whenever the work calls for it. Travel and location costs are quoted transparently within each project, so there's no ambiguity.

Do you offer ongoing partnerships, or only project work?

Both — though most of our clients become long-term partners rather than one-off projects. We offer ongoing retainers for brands that need a recurring creative function, and many engagements evolve into multi-year relationships once the first phase ships. If recurring work is what you need, we can structure for it from the start.
